TERMS AND CONDITIONS OF SALE

1. Scope of Services

Linkedware will provide the services and deliverables outlined in the proposal, quotation, or agreement shared with the client. Any additional work requested outside the agreed scope will be subject to a separate quotation and written approval.

2. Client Responsibilities
  • The client shall provide all required content, data, and approvals in a timely manner to avoid project delays.
  • The client is responsible for ensuring the accuracy of all materials (text, images, product data, etc.) supplied.
  • Delays caused by the client may affect delivery timelines and may result in additional charges.
3. Pricing & Payment Terms
  • All fees are quoted in [EGP/USD] and are exclusive of applicable taxes unless otherwise stated.
  • A non-refundable 60% advance payment is required to commence work. The balance is due upon project completion and before final handover.
  • Ongoing subscription fees (e.g., Shopify, domain names, hosting, third-party apps) are payable directly by the client unless otherwise agreed.
  • Late payments may result in suspension of services and additional charges.
4. Revisions & Changes
  • The quotation includes [3] rounds of revisions. Any further revisions or major changes outside the agreed scope will be charged separately.
  • Requests for additional features, integrations, or rebranding elements not listed in the original proposal will require a new quotation.
5. Intellectual Property Rights
  • Upon full payment, the client will own the final deliverables (e.g., website design, branding assets).
  • Linkedware retains the right to showcase the project in its portfolio, website, and marketing materials.
  • Any third-party licenses (e.g., premium themes, plugins, stock images) remain the property of their respective owners.
6. Confidentiality

Both parties agree to maintain the confidentiality of sensitive business, financial, and technical information exchanged during the project.

7. Warranties & Limitations of Liability
  • Linkedware warrants that services will be delivered with professional care and in line with industry standards.
  • Linkedware is not liable for indirect, incidental, or consequential damages, including but not limited to loss of revenue, profits, or data.
  • Responsibility for the use, maintenance, and compliance of the delivered solution (website, ERP, training, etc.) rests with the client.
8. Support & Maintenance
  • Unless stated otherwise in the proposal, ongoing support and maintenance are not included and may be offered under a separate contract.
  • Training sessions or user guides are included only if explicitly stated in the quotation.
9. Termination
  • Either party may terminate the agreement with written notice if the other party breaches material terms and fails to remedy within [14] days.
  • Upon termination, the client is responsible for payment of all completed work and expenses incurred up to the termination date.
10. Governing Law & Dispute Resolution
  • These terms shall be governed by the laws of [Egypt].
  • Any disputes shall first be resolved amicably through negotiation. If unresolved, disputes shall be subject to the jurisdiction of the courts of [Cairo, Egypt].
11. Acceptance

By engaging Linkedware’s services, the client acknowledges and accepts these Terms & Conditions.
